Terms of Service

These terms govern your use of Auxen. By creating an account, you agree to them. We've written them in plain English where possible; the section headings mirror a standard SaaS agreement.
1. Agreement
These Terms of Service (“Terms”) are a legal agreement between you (“Customer”) and [COMPANY LEGAL NAME, e.g. "Auxen, Inc."] (“Auxen”, “we”, “us”). By accessing or using the Auxen service (the “Service”) you agree to be bound by these Terms.
2. The service
Auxen provides a platform that provisions a private AI model endpoint, a knowledge-base layer, and associated tooling on your behalf. Pricing, usage tracking, and the per-minute billing mechanics are described on the pricing page and in your account dashboard.
3. Accounts
- You must provide an accurate email address to create an account. One-time codes sent to that address authenticate access.
- You are responsible for safeguarding your account credentials and API keys. Treat API keys like passwords.
- You must be at least [AGE, e.g. 18] years old (or the age of majority in your jurisdiction) to use the Service.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or third-party right.
- Generate content that infringes intellectual property, defames, or sexually exploits any person.
- Generate malware, phishing content, or spam.
- Attempt to extract model weights, reverse-engineer the Service, circumvent rate limits, or probe the infrastructure.
- Submit content that constitutes protected health information, payment-card data, or other regulated data unless you have a signed Data Processing Agreement with us that specifically permits it.
We may suspend or terminate accounts that violate these rules, with or without notice.
5. Your content
You retain all rights to the documents, prompts, and other content you submit to the Service (“Customer Content”). You grant Auxen the non-exclusive license needed to store and process your Customer Content solely to operate the Service for you.
We do not train models on Customer Content. We do not share Customer Content with third parties except the GPU compute provider hosting your instance and, where required, a legal order.
6. Fees and billing
- Auxen bills Pay-As-You-Go: you add USD credits to your account and we deduct per-minute against the GPU runtime of your instances. Idle time costs nothing. Credits never expire.
- Optional auto-recharge will top up your balance using a saved payment method when it falls below a threshold you choose. You can disable auto-recharge at any time from the dashboard.
- Taxes, where applicable, are your responsibility and may be added by Stripe to your invoice.
- Refunds of unused credit are evaluated case-by-case.
7. Cancellation and termination
- You can destroy any instance at any time from the dashboard. Billing stops the moment the instance stops running.
- We may terminate your access for violations of these Terms, for unpaid fees, or for extended inactivity with notice.
- On termination, we will delete your Customer Content and account data within [ERASE WINDOW, e.g. 30 days] unless a longer retention is required by law.
8. Service availability
We aim for high availability but we do not guarantee 100% uptime. Scheduled maintenance and upstream provider outages (GPU host, Stripe, DNS) can cause brief interruptions. Specific SLAs, if any, are set forth in your order form or your Enterprise plan agreement.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be wrong, incomplete, or inappropriate for a given use; you are responsible for reviewing outputs before relying on them.
10. Limitation of liability
To the maximum extent permitted by law, Auxen's aggregate liability for any claim arising out of or related to these Terms is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits, lost data, or business interruption.
11. Indemnity
You will defend and indemnify Auxen against third-party claims arising from Customer Content or your breach of these Terms.
12. Governing law
These Terms are governed by the laws of [JURISDICTION, e.g. the State of Delaware, USA], without regard to conflict-of-laws principles. Disputes will be resolved in the state and federal courts located in [VENUE, e.g. Wilmington, Delaware].
13. Changes
We may update these Terms. Material changes will be announced via email to the address on file. Continued use after the effective date of an update constitutes acceptance.
